58 MILLENNIUM-SECOND EDITION D avid William Bernstein developed an affinity for the legal industry when he was in the fourth grade, when his class conducted a moot court competition. Encouraged by his teacher to enter the field of law, he pursued formal education at Harvard University, where he earned a Bachelor of Arts, magna cum laude, in 1959. Thereafter, he received a Bachelor of Laws, magna cum laude, in 1962. In addition to being admitted to practice law by the New York State Bar, he has also been admitted before the U.S. District Court for the Southern District of New York, and the U.S. Court of Appeals for the Second Circuit. Since 2015, Mr. Bernstein has been a counsel within the business law department of Goodwin Procter LLP, where he is also a member of the real estate industry group. Prior to that, he was a partner and chair of the corporate department of Rogers & Wells (which became part of Clifford Chance) and a partner in K&L Gates. A corporate and transactional lawyer whose areas of practice include mergers and acquisitions, joint ventures, securities transactions and corporate governance, he has frequently worked with European and Asian clients regarding acquisitions of companies in the United States. Among the highlights of his career was representing the City of New York in the U.S. government guaranteed financing that led the city out of a financial crisis. A contributor of more than 30 articles to professional journals, including The International Financial Law Review, Mr. Bernstein currently authors a quarterly column for that publication on corporate governance. He has been a regular advisor to the boards of directors of New York Stock Exchange-listed companies and maintains affiliations with the American Bar Association in its Business Law Section and the Harvard Club of New York. Mr. Bernstein has been included in Best Lawyers of America for more than 30 years and was featured in multiple editions of Who’s Who in America, Who’s Who in American Law and Who’s Who in the World.
